Press Release by the Board of Directors
following the meeting of 2 May 2007

 

GFI Informatique’s Board of Directors, meeting on 2 May 2007 under the chairmanship of Jacques Tordjman, has taken note of Fujitsu Services Holding Plc’s intention of making a public offer for the entire capital of GFI Informatique.

Fujitsu’s representatives informed Jacques Tordjman of the company’s intentions on 26 April and Fujitsu Services made its intentions public on 2 May 2007:

This declaration of intent has not been invited and the underlying offer is presented as an alternative to the project currently being considered by GFI Informatique and Apax Partners.

The Board of Directors’ role is to protect GFI Informatique’s interests and it must, in this capacity, examine all major proposals concerning the group.

The Board cannot, however, issue an opinion without an in-depth analysis of the valuation elements and the industrial and employment consequences of the offer. This can only be carried out if Fujitsu Services provides all the information necessary to assess the proposal.

The Board will make its decision based on the interest of shareholders, customers and employees of GFI Informatique.
